Due Diligence & Transaction Support (Sell-Side):

Strategize and facilitate sale of company including financial projections, valuation, due diligence, and contract negotiation.

Due Diligence & Transaction Support (Buy-Side):

Develop strategic presentation package for executive team including potential targets, product portfolio impact, potential synergies, price ranges and company valuations.
Manage onsite due diligence team to ensure completeness of data gathering.
Prepare/maintain due diligence checklists and cross-reference due diligence checklist to electronic data room to ensure all requests are fulfilled.
Review and consolidate individual due diligence reports into a master report to further refine valuation models and support contract negotiations.
Partner with legal counsel, investment bankers and brokers for negotiation of purchase agreements, transitional service agreements (TSA) and other side agreements.

Post-Acquisition Integration:

Create comprehensive integration plan with timeline, milestones and responsibilities by department by functional team and oversee entire process from beginning to end.
Host conference calls with all responsible parties and update integration status report for management team on a weekly basis.
Establish budgeting/forecasting/accounting/financial reporting processes and procedures that are tailored to the new business.
Facilitate hiring, training, vendor transition, office relocation, and streamlining operations.

Financial Planning & Analysis:

Manage all areas of financial planning and analysis including annual budgeting, periodic forecasting, financial modeling, capital planning, and strategic ad hoc analyses.
Design and develop both short-term and long-term (5-year) strategic plans, partnering with all departments including Sales, Marketing, HR, Product Development, and Operations to determine product offering, pricing, sales goals, costs, margins, etc
Create complex financial models to support leadership decision-making, contract negotiation, capital investment, and strategy development.
Build valuation models for M&A transactions including detailed assumptions for revenue growth by product lines, COGS, selling and G&A expenses, capital expenditures, working capital, and headcount.
Evaluate the effectiveness of salesforce and marketing campaign by analyzing sales results by product, by campaign, andby channel. Compare sales results against budgets, forecasts, and prior-year actuals to identify trends and opportunities
Review Customer Acquisition Costs, ROI, conversion rate, Customer Life Time Value.
Analyze product profitability to improve pricing and offer strategies.

Financial Reporting:

Execute responsibilities of senior finance roles during periods of company or individual transition.
Assist with preparation of interim financial statements and disclosures.
Establish financial close process from scratch for startup and newly acquired entities, including opening balance sheet, chart of accounts, accrual entries, financial reporting, management reporting, and all financial controls.
Inspect previously inefficient accounting system and reconstruct chart of accounts, books and records for accurate recordkeeping and reliable financial data.
Prepare timely and accurate compliance submissions (including financial results, operations summary and KPIs, etc.) to banking institutions, parent company, and investors.

Process Re-Engineering & Internal Controls:

Design and document accounting policies and procedures for internal controls and GAAP compliance.
Implement order and structure in operations and logistics, and institute internal controls over expenses and costs.
Establish procedures for new product setup, new marketing campaign setup, new client setup, and order entry to ensure customer & sales data accuracy, consistency, and completeness in company’s ERP system.

Implement an inclusive budgeting process that involved department sponsors, leading to more accurate budgets and providing for more accountability.
